HeyMax First — Terms of Use

These HeyMax First terms contain important information that applies to the HeyMax First program - an additional membership feature designed to allow Members to access Max Miles upfront through a tier-based pool and then replenish that pool over time through activity on the HeyMax platform which is a platform operated by Max Now Pte. Ltd., a company incorporated in Singapore (“HeyMax”).

These HeyMax First Terms are divided into two parts - General Terms and Operational Terms.

It is important that you read these terms. Where available, your eligibility to participate in the HeyMax First program including your eligibility to reclaim Access Fee paid by you shall be determined by these terms and is subject to your continued compliance with them. The Access Fee is a transaction fee charged each time you draw miles and is not a membership entry fee.

This HF Agreement (as defined below) constitutes a legally binding agreement between HeyMax and each individual who accesses the HeyMax First program. By accessing the HeyMax First program, you acknowledge that you have read and understood this HF Agreement and agree to be bound by all of its terms. HeyMax may modify this HF Agreement from time to time and your continued access to the HeyMax First program shall constitute and be deemed to be your acceptance of such modification and your consent to abide by its terms.

Part 1 - General Terms

1. Nature of the Program and Key Terms

1.1 HeyMax First is a membership feature designed to allow Members to access Max Miles upfront through a tier-based Miles Pool and then replenish that Miles Pool over time through eligible Earned Miles activity.

1.2 Enrolment in the HeyMax First program is immediate upon sign-up; however, every Draw of Max Miles from your Miles Pool is subject to the payment of an Access Fee, payable at the time of each such Draw.

1.3 Key defined terms are:

  • Access Fee” means the fee payable by a Member when drawing Max Miles from the applicable Miles Pool, calculated by reference to the applicable per-mile rate for the Member’s Tier, as further described in this HF Agreement.

  • Agreement” means the HeyMax Terms of Use available at https://heymax.ai/company/terms, as amended from time to time.

  • Draw” means a withdrawal of Max Miles from the Member’s available Miles Pool in the applicable block size, which is completed upon payment of the relevant Access Fee.

  • Earned Miles” means Max Miles validly credited to a Member through eligible activity on the HeyMax platform and excludes Max Miles that were previously drawn from a Miles Pool.

  • HF Agreement” means the terms set out here including Annex 1, as amended from time to time.

  • Member” means a HeyMax account holder who is enrolled in HeyMax First.

  • Miles Pool” means the maximum number of Max Miles made available to a Member for drawing under the Member’s Tier, subject to this HF Agreement.

  • Reclaim Process” means the process by which eligible Earned Miles can be applied against outstanding drawn miles so that the corresponding Access Fee is available for reclaim by the Member, in accordance with this HF Agreement.

  • Singpass” means the Singapore digital identity, authentication or authorisation service used for identity verification and connected services.

  • Tier” means the applicable HeyMax First membership tier, being Silver, Gold, Platinum or Reserve, or such other tier as HeyMax may designate, in accordance with this HF Agreement.

  • Year 2 Renewal” means the renewal of a paid Tier at the end of the initial membership year or any subsequent renewal period, as applicable to the relevant Tier structure.

2. Application of this HF Agreement

2.1 This HF Agreement supplements the Agreement.

2.2 If there is any inconsistency between this HF Agreement and the Agreement in relation to HeyMax First, this HF Agreement prevails to the extent of that inconsistency only in relation to HeyMax First.

3. Eligibility and Enrolment

3.1 A user must have a valid HeyMax account to participate in HeyMax First.

3.2 For the avoidance of doubt, the Agreement continues to govern redemption of Max Miles. The Reclaim Process is a separate feature applicable only to HeyMax First and is administered in accordance with this HF Agreement.

3.3 HeyMax may require identity verification, including through requiring Singpass verification before a first Draw, where applicable to the product flow or compliance process.

3.4 A user may only participate in HeyMax First through the user’s own HeyMax account and must not create or use multiple accounts, false identities, or deceptive arrangements in connection with HeyMax First.

3.5 HeyMax may refuse, suspend or limit enrolment in HeyMax First where reasonably necessary for fraud prevention, security, legal compliance or to maintain its operational integrity.

3.6 The existence of a Miles Pool or any displayed entitlement does not mean that Max Miles have vested unconditionally in you, and access to all HeyMax First program features remain subject to the Agreement.

4. Singpass Authentication and MyInfo Authorisation

4.1 Access to certain high-value program features, including the first Draw or participation in any Reclaim Process of Access Fees, is strictly conditional upon successful identity verification where required for product, fraud prevention, security or legal compliance purposes. Where applicable to the product flow or compliance process, you may be required to log in to your Singpass Account to authenticate your identity. By using Singpass in connection with the HeyMax First program feature, you unconditionally agree to be bound by the then-current Singpass Terms of Use and Privacy Statement.

4.2 To facilitate your enrolment and ensure regulatory compliance with our Know Your Customer (KYC) and anti-money laundering obligations, you hereby authorise HeyMax to retrieve and process your personal data (including but not limited to your name and NRIC/FIN number) from the Myinfo platform ("Profile Data"). HeyMax collects and uses this Profile Data exclusively for the purposes of identity verification, fraud prevention and as permitted under applicable Singapore law, including for regulatory reporting.

4.3 You are solely responsible for ensuring that all Profile Data retrieved via Singpass is true, accurate, complete, and not misleading at the time of submission. If any retrieved information is outdated or incorrect, you must update the latest data through the relevant government authority or system interface before completing your transaction.

4.4 HeyMax is not responsible for delays, restrictions or inability to provide a HeyMax First feature to the extent this results from inaccurate, incomplete or outdated Profile Data not caused by it.

4.5 You are fully responsible for maintaining the confidentiality and security of your Singpass login credentials. HeyMax shall be entitled to rely on any instruction or verification received through your Singpass authentication as if issued by you, and disclaims all liability for any unauthorised access resulting from a compromise of your credentials except to the extent caused by our fraud, wilful misconduct or breach of applicable law.

4.6 You may withdraw your consent for the processing of your Profile Data at any time by providing written notice; however, as identity verification is a condition precedent for participation in HeyMax First, such withdrawal will result in the immediate termination of your membership and may extinguish your ability to perform further Draws or participate in the Reclaim Process.

4.7 HeyMax may rely on Profile Data retrieved through authorised Singpass or Myinfo flows for the purposes described above and for administering your HeyMax First membership, including your tier status, Miles Pool, Draws, Access Fees, payouts and the Reclaim Process. It may also use the data to prevent, detect and investigate fraud, abuse, payment reversals and unauthorised activity, and comply with legal, regulatory, audit, dispute management and enforcement requirements.

4.8 HeyMax may retain identity, verification and transaction records including Profile Data for as long as reasonably necessary to administer outstanding Draws, reclaim eligibility, payout activity, disputes, fraud reviews, account restrictions and related legal, regulatory, audit, enforcement or recordkeeping requirements. HeyMax may also disclose such information where reasonably necessary to service providers, payment processors, payout providers, verification vendors, technology providers, professional advisers, auditors or competent authorities for those purposes.

4.9 HeyMax will take reasonable technical and organisational measures to protect personal data including Profile Data processed in connection with HeyMax First.

5. No Monetary Value; Nature of Rights

5.1 HeyMax is not licensed or registered with the Monetary Authority of Singapore ("MAS"). Accordingly: (a) HeyMax is not subject to the conduct requirements or safeguarding obligations (including the mandatory protection of e-money float) imposed on MAS-licensed payment service providers; and (b) you acknowledge that any value displayed or accrued within HeyMax First is not protected by the Singapore Deposit Insurance Corporation (SDIC).

5.2 For the avoidance of doubt, Max Miles, Miles Pool capacities, reclaim eligibility, and any displayed numerical values (“Program Values”): (a) are not "money," "e-money," "currency," or "deposits" as defined under the Singapore Payment Services Act 2019 or the Singapore Banking Act 1970; and; (b) do not constitute a "stored value facility" or "prepaid payment instrument" in which you have a proprietary interest; (c) are not held by HeyMax on trust for you; and (d) constitute a non-exclusive, revocable, and non-transferable contractual permission granted by HeyMax to participate in the HeyMax First program features in accordance with this HF Agreement.

5.3 Your eligibility to access features of the HeyMax First program and the HeyMax platform is solely and strictly limited to such personal, non-proprietary, and contractual rights of access as may arise expressly under this HF Agreement. You acknowledge and agree that: (a) Program Values have no "cash-out" value and cannot be exchanged for currency, except through the specific Reclaim Process; and (b) you have no right to sell, pledge, assign, or otherwise create a security interest over any Program Values; and (c) your "reclaim eligibility" is a contingent contractual right, the exercise of which is subject at all times to verification by HeyMax of your compliance with the Member Restrictions.

5.4 You shall not rely on the display of any Miles Pool or reclaim balance to claim or assert any form of legitimate expectation against HeyMax. All balances remain subject to adjustment, reversal, and hold by HeyMax to correct errors or address suspected abuse in accordance with this HF Agreement.

6. User Obligations

6.1 You must ensure that all information provided by you in connection with HeyMax First, including identity information, payment details, and verification information, is true, accurate, complete and not misleading.

6.2 You must not:

(a) use HeyMax First in any fraudulent, abusive, manipulative, dishonest, or deceptive manner;

(b) attempt to circumvent any draw limits, reclaim restrictions, tier requirements, identity checks, payment controls, or risk controls;

(c) create multiple accounts or use another person's account to obtain access to additional Miles Pool capacity or reclaim rights;

(d) exploit the HeyMax First program in a manner not intended by HeyMax;

(e) engage in chargebacks, payment reversals, fabricated transactions, or other conduct designed to obtain Max Miles, draws, Access Fee reclaims, or membership benefits improperly; or

(f) otherwise breach this HF Agreement (each a “Member Restriction” and collectively the “Member Restrictions”).

6.3 You are solely responsible for all draws, reclaims, redemptions, tier selections, upgrade requests, downgrade requests, and payment instructions initiated through your account, save to the extent caused by HeyMax's proven error.

7. Suspensions, Adjustments and Recovery Rights

7.1 HeyMax reserves the right from time to time to make top-ups, deductions, reversals, adjustments, suspensions, holds, or offsets to your HeyMax First balances, eligibility to reclaim the Access Fee, drawn balances, earned balances, Miles Pool availability or related account records where it is reasonably necessary to do so, including where there has been an incorrect credit, incorrect reclaim, system error, payment reversal or an actual or suspected breach of a Member Restriction.

7.2 Where HeyMax has made available to you any benefit or value represented as a program feature to which you were not entitled (including, where applicable, a right to a payout of the Access Fee following your successful participation in a Reclaim Process), HeyMax may recover the same by deducting Max Miles, reducing reclaim eligibility, setting off against future reclaims, charging your stored payment method where authorized, or taking such other steps as may be permitted by applicable law.

7.3 HeyMax may suspend or terminate your access to HeyMax First, or your account generally, if it has reason to believe that you have breached the Member Restrictions.

8. Changes to HeyMax First

8.1 HeyMax may vary, modify, amend, suspend or discontinue HeyMax First, this HF Agreement, any Tier, any commercial variable in Annex 1, or any related feature, at its discretion, subject to applicable law.

8.2 If HeyMax makes a change that is materially adverse to a Member in relation to membership fees, Access Fee rates, Reclaim Process mechanics, payout mechanics, Tier benefits or eligibility conditions, HeyMax shall give the Member at least 30 days’ prior notice, unless a shorter period is reasonably required for legal, regulatory, security or fraud-prevention reasons.

8.3 Any change to a commercial variable applies prospectively unless HeyMax expressly states otherwise and such retrospective application is permitted by law and fair in the circumstances.

8.4 For the avoidance of doubt:

(a) Access Fee rates for previously completed Draws remain fixed for purposes of the Reclaim Process and are not retrospectively altered by a later tier change or product change; and

(b) For the avoidance of doubt, accrued eligibility under the Reclaim Process relating to previously completed Draws will not lapse solely by reason of downgrade, cancellation of a paid Tier, or migration to free Silver status, but may lapse where the Member’s account is removed for inactivity under the Agreement or where rights are lawfully suspended or terminated for actual or suspected breach of the Member Restrictions.

9. Termination and Effect of Termination

9.1 HeyMax may terminate or suspend a Member’s participation in HeyMax First in accordance with this HF Agreement, including for an actual or suspected breach of a Member Restriction.

9.2 A Member may cancel or downgrade a paid Tier in accordance with the applicable product flow, but this does not by itself invalidate accrued eligibility to participate in the Reclaim Process relating to existing Draws, subject to this HF Agreement.

9.3 If HeyMax discontinues the HeyMax First program entirely, HeyMax shall provide such transition arrangements as HeyMax reasonably determines are appropriate in the circumstances, taking into account outstanding Draws, accrued eligibility under the Reclaim Process, operational feasibility, fraud controls and legal requirements.

10. Governing law

10.1 This HF Agreement and any dispute, claim, question or controversy arising out of or in connection with HeyMax First, this HF Agreement or their subject matter, whether contractual or non-contractual, shall be governed by the laws of Singapore.

10.2 The courts of Singapore shall have exclusive jurisdiction to hear and determine any such dispute, claim, question or controversy.

Part 2 - Operational Terms

11. Membership Tiers

11.1 HeyMax First operates on a tiered membership basis. The current Tiers, corresponding Miles Pool sizes, membership fees and Access Fee rates are set out in Annex 1.

11.2 Members shall be able to access a progressively larger number of Miles as they upgrade across Tiers.

11.3 The Miles Pool ceiling applicable to a Member is the ceiling for the Member’s then-current Tier, subject always to any outstanding prior Draws and the ledger rules in this HF Agreement.

11.4 HeyMax will generally provide for a default tier on signup. In general, annual membership fee for this default tier will stand at zero for the first year while a Member may need to enrol in a higher paid tier to access a larger Miles Pool.

12. Membership Fees and Renewals

12.1 Membership fees for paid Tiers are set out in Annex 1 and are payable for the applicable membership period indicated there.

12.2 A paid Tier may be offered on a promotional Year 1 no-fee basis with Year 2 and subsequent renewals charged at the applicable fee, where this is expressly stated in Annex 1 or in the product flow presented to the Member.

12.3 Where a Member signs up for or upgrades into a paid Tier using a stored payment credential or card authorisation flow, the Member authorises HeyMax to retain and use that payment method for the applicable renewal charge at the start of the Year 2 Renewal or any subsequent renewal period, unless the Member cancels or downgrades in accordance with this HF Agreement before the relevant renewal date.

12.4 HeyMax shall provide advance notice before charging a Member for a Year 2 Renewal or subsequent renewal of a paid Tier.

12.5 Unless otherwise stated to the Member at the point of enrolment, upgrade or renewal, an upgrade during the current membership year does not extend the membership year, and the renewal date remains unchanged.

13. Drawing Max Miles

13.1 A Member may draw Max Miles from the Member’s available Miles Pool in the applicable block size stated in Annex 1, subject to payment of the corresponding Access Fee. No Draw is completed unless and until that payment is successfully received by HeyMax.

13.2 No Draw may exceed the available Miles Pool ceiling for the Member’s current Tier at the time of the Draw.

13.3 A Draw is completed only when the applicable payment is successfully received by HeyMax through the payment flow made available by HeyMax, including PayNow where offered.

13.4 Drawn Max Miles are credited to the Member’s account after successful payment processing in accordance with the applicable product flow.

13.5 Drawn Max Miles remain subject to the Agreement, which, among other things, including rules on deductions, reversals, account restrictions and the redemption process.

14. Access Fees

14.1 For each Draw, the Member must pay the applicable Access Fee determined by reference to the Member’s Tier and the number of Max Miles drawn.

14.2 Subject to this HF Agreement, the Access Fee can be reclaimed through the Reclaim Process as eligible Earned Miles are applied against outstanding drawn miles.

14.3 An Access Fee is not interest-bearing, and no interest, yield, profit, return or similar amount accrues or is payable on any Access Fee amount pending a payment under the Reclaim Process.

14.4 The Member acknowledges that the applicable Access Fee rates are commercial variables set out in Annex 1 and may be changed by HeyMax in accordance with this HF Agreement, provided that any Reclaim Process relating to previously drawn miles shall continue to be calculated using the original applicable draw rate for those drawn miles.

15. Reclaims

15.1 A Member is eligible to participate in a process to reclaim Access Fees by applying eligible Earned Miles against outstanding drawn miles in the applicable reclaim block size stated in Annex 1.

15.2 Only Earned Miles are eligible for use in the Reclaim Process. Drawn Max Miles cannot themselves be used to reclaim an Access Fee.

15.3 Eligibility under the Reclaim Process continues until fully unwound, unless the relevant Draw is reversed for reasons permitted under this HF Agreement.

15.4 The Reclaim Process remains available to a Member across membership Tiers (whether the Tier is active, cancelled paid tiers and/or a free Silver status), until unwound subject to the Member’s account: (i) being maintained in a state that permits HeyMax to administer the Reclaim Process; (ii) not being restricted under the Access Restrictions; and /or (iii) not being incapable of access due to inactivity by the Member.

15.5 Any Access Fee amount payable under the Reclaim Process shall, unless HeyMax expressly notifies the Member otherwise, be paid via PayNow to an account that HeyMax is able to verify as linked to the Member’s Singpass-registered NRIC or mobile number. HeyMax may decline or delay any payout where the nominated PayNow account cannot be so verified.

15.6 If a Member’s Earned Miles do not satisfy a full reclaim block threshold, the Member may only reclaim the number of Max Miles that meets the applicable block requirement, and any remaining Earned Miles will continue to count toward a future reclaim once the applicable threshold is met.

16. Ledger Rules and Order of Application

16.1 HeyMax may maintain separate ledger balances for drawn miles and Earned Miles for each Member for the purpose of administering HeyMax First.

16.2 When a Member redeems Max Miles for a flight, voucher or other redemption option, the system may deduct drawn miles before Earned Miles, so as to preserve the integrity of Reclaim Process calculations in accordance with the operational terms of the HeyMax First program.

16.3 Where a Member has made Draws at different Access Fee rates over time, payments under the Reclaim Process shall be applied in first-in-first-out order by reference to the original Draw and at that Draw’s original applicable rate, and a single exercise under the Reclaim Process may therefore unwind drawn miles across mixed rates.

16.4 HeyMax’s records of Draws, Earned Miles, redemptions, applicable rates, outstanding balances and exercises under the Reclaim Process shall, absent manifest error, be conclusive for the administration of HeyMax First.

17. Upgrades

17.1 A Member may upgrade to a higher Tier by paying the applicable difference in membership fees or such other amount as is presented in the relevant product flow.

17.2 Unless expressly stated otherwise, an upgrade takes effect immediately once processed successfully.

17.3 Following an upgrade, the new Miles Pool ceiling becomes effective immediately, but outstanding prior Draws remain recorded at their original rates and exercises under the Reclaim Process continue to unwind in accordance with Clause 16.3.

17.4 The applicable membership year for a paid Tier starts on first paid-tier activation and carries forward through upgrades within the same membership year, unless HeyMax expressly states otherwise to the Member.

18. Downgrades

18.1 A Member may request to downgrade to a lower Tier.

18.2 Unless HeyMax expressly states otherwise, a downgrade takes effect only at the next renewal date and not mid-cycle.

18.3 Until the downgrade becomes effective, the Member retains the current Tier privileges for the remainder of the current membership cycle.

18.4 A downgrade does not reset the ledger of past Draws, does not alter the original applicable draw rate for those Draws, and does not affect accrued eligibility under the Reclaim Process in respect of existing Draws.

18.5 Once the downgrade takes effect, the Member’s future Miles Pool ceiling will be the ceiling applicable to the lower Tier, but outstanding prior Draws remain unaffected.

19. Suspension, Restrictions and Adjustments

19.1 HeyMax may suspend, restrict, reverse, adjust or decline any Draw, Reclaim Process, payout, membership status or other HeyMax First program feature in respect of a Member (an “Access Restriction”) where such action is reasonably necessary to:

(a) investigate an actual or suspected breach of a Member Restriction ("Member Event");

(b) correct an error;

(c) address chargebacks, failed payments or unauthorised transactions;

(d) comply with law, regulation, court order or regulator direction; or

(e) protect the integrity, security or proper administration of HeyMax First or the wider Max Miles programme.

19.2 Without limiting Clause 19.1, HeyMax may make top-ups or deductions to a Member’s account balance where necessary, reasonable or expedient, including where Max Miles were incorrectly credited or where a Member Event has occurred in respect of a Member.

19.3 A Member whose account is suspended or terminated as a result of actual or suspected breach of a Member Restriction may be subject to temporary or permanent suspension of its ability to access features under the HeyMax First program to the extent permitted by applicable law and this HF Agreement.

19.4 Any exercise by HeyMax of a discretion under this HF Agreement that affects the eligibility of a Member to reclaim an Access Fee or a Member’s accrued position in respect of a Reclaim Process shall be carried out reasonably.

Annex 1 — Commercial Variables and Calculation Mechanics

As of date, Silver is the default tier on signup.

HeyMax may run promotional offers from time to time in relation to the calculation mechanics including, where applicable, zero yearly fees for Year 1 of any membership tier. See “Promotions” below.

2. Draw Mechanics

2.1 Draws are made in blocks of 10,000 Max Miles only. Partial blocks are not permitted.

2.2 A Draw cannot exceed the applicable Miles Pool ceiling for the Member’s current Tier.

2.3 Payment is made through the payment method or flow made available by HeyMax, including PayNow where offered, and miles are released after payment is received.

2.4 Singpass verification may be required before the first Draw.

3. Reclaim Process Mechanics

3.1 Reclaims under a Reclaim Process are made in blocks of 10,000 Max Miles only.

3.2 Only Earned Miles may be used for the Reclaim Process.

3.3 Eligibility under the Reclaim Process continues until the relevant Draw is fully unwound, unless the relevant Draw is reversed, the Member ceases to be able to access the account as a result of inactivity under the Agreement, or the Member’s rights are otherwise lawfully restricted or terminated under this HF Agreement for an actual or suspected breach of the Member Restrictions.

3.4 Exercises under the Reclaim Process are processed at the original applicable draw rate for the relevant drawn miles, in First-In-First-Out order.

3.5 Any Access Fee payout that is confirmed following successful participation in the Reclaim Process will, unless HeyMax expressly makes another payout method available, only be made to a PayNow account that HeyMax can verify as being linked to a verified Member including, if required, through Singpass verification.

4. Upgrade and Downgrade Mechanics

4.1 Upgrades take effect immediately unless otherwise stated in the relevant product flow.

4.2 Downgrades take effect at the next renewal date and not mid-cycle, unless otherwise stated by HeyMax.

4.3 Upgrades and downgrades do not reset historical Draw rates for purposes of the Reclaim Process.

5. Promotions

5.1 Promotions may be offered by HeyMax from time to time on such eligibility criteria, duration and conditions as HeyMax specifies. Unless expressly confirmed to you at the point of transaction, promotional materials do not create a binding entitlement. HeyMax may amend, suspend or withdraw a promotion prospectively where reasonably necessary for operational, legal, security or fraud-prevention.

6. Worked Illustrations

6.1 The following illustrations in this Annex are included for explanatory purposes only and do not override the operative provisions of this HF Agreement.

Illustration 1:

A member who is on the Silver Tier wants to draw 30,000 Max Miles.

Based on the current criteria, the Access Fee payable by such Member would be an amount of 30,000 × S$0.03 = SGD 900 total.

Upon payment of the Access Fee, the 30,000 Max Miles are credited instantly.

Illustration 2:

A Member has drawn 20,000 Max Miles while on the Silver Tier (SGD 0.030 per mile; Access Fee of SGD 600).

The Member thereafter upgrades to the Gold Tier and draws a further 10,000 Max Miles (SGD 0.027 per mile; Access Fee of SGD 270).

Assume the Member has 10,000 Earned Miles available and is eligible to participate in the Reclaim Process.

Upon participation in the process, the 10,000 Earned Miles are applied in first-in-first-out order against the earliest outstanding drawn miles — the Silver Draw — at that Draw's original rate.

Accordingly, the Member is eligible to be paid an amount of SGD 300 (10,000 × SGD 0.030).

This amount will be paid to the Member via PayNow.

The remaining balance of outstanding miles (10,000 drawn at the Silver Tier rate and 10,000 drawn at the Gold Tier rate) are unwound in that order as further Earned Miles become available.
